1. Scope of Work:

1.1 The contractor agrees to provide asphalt milling services as outlined in the project specifications and scope of work. 1.2 The client agrees to provide access to the project site and any necessary permits or permissions required for the completion of the milling project.

2. Project Timeline:

2.1 Both parties agree to adhere to the agreed-upon project timeline, as outlined in the project schedule. 2.2 Any delays in the project timeline due to unforeseen circumstances will be communicated promptly between the client and the contractor, and eGorts will be made to mitigate such delays.

3. Payment Terms:

3.1 See current rate sheet 3.2 Payment terms shall be net 15 from date of completion. 3.3 Late payments may incur penalties and legal fees.

4. Change Orders:

4.1 Any changes to the scope of work must be agreed upon in writing by both parties through a change order. 4.2 Additional costs incurred due to change orders will be outlined and agreed upon before work commences.

5. Quality and Warranty:

5.1 The contractor warrants that all work performed shall meet industry standards and specifications. 5.2 Milling work carries no warranties.

6. Site Conditions and Access:

6.1 The client agrees to provide safe and suitable access to the project site for the contractor's equipment and personnel. 6.2 The contractor shall not be held responsible for delays or issues arising from site conditions beyond their control, including but not limited to inclement weather, site access restrictions, or unforeseen site conditions.

7. Indemnification:

7.1 Both parties agree to indemnify and hold harmless each other from any claims, damages, or liabilities arising from the performance of the work, except for claims arising from the other party's negligence or willful misconduct.

8. Termination:

8.1 Either party may terminate the agreement in writing if the other party materially breaches the terms of the agreement and fails to remedy such breach within a reasonable timeframe. 8.2 Termination of the agreement shall not relieve either party of any obligations accrued prior to the termination date.

9. Governing Law and Dispute Resolution:

9.1 This agreement shall be governed by the laws of Tennessee. 9.2 Any disputes arising from this agreement shall be resolved through mediation, and if necessary, arbitration.

10. Entire Agreement:

10.1 This agreement constitutes the entire understanding between the parties regarding the asphalt milling project and supersedes all prior agreements and understandings, whether written or oral.
